COLLEGE ESSAY WORKSHOP TERMS OF SERVICE

 Effective date: JULY 30 2026


These College Essay Workshop Terms of Service (the “Workshop Terms”) are a binding agreement between Collier Connects, LLC, a Virginia limited liability company (“Collier Connects,” “we,” “us,” or “our”), and the adult parent or legal guardian who registers or authorizes a student’s participation (“Parent/Guardian”). The student participant is referred to as the “Student.” The Parent/Guardian and Student may be referred to together as “you.” These Workshop Terms apply to the in-person College Essay Workshop, the included follow-up session, workshop materials, and any related communications or services expressly included with registration (collectively, the “Workshop”).


By registering, paying, or electronically accepting these Workshop Terms, the Parent/Guardian confirms that the Parent/Guardian has read and agrees to these Workshop Terms, has authority to register the Student, and consents to the Student’s participation. The Student is also expected to review and acknowledge the provisions that concern participation, conduct, originality, and use of materials.


1. Eligibility and intended participants. The Workshop is intended for current high school seniors and rising high school seniors. Each Student must be at least 16 years old on the date of the in-person session. We may request reasonable confirmation of age, grade level, or Parent/Guardian authorization. A Student who does not meet the eligibility requirements may be denied participation, and the refund or credit outcome will be determined under Section 5.


2. Registration and accurate information. A place is not reserved until Collier Connects receives the required payment and any registration confirmation identified on the event page. The Parent/Guardian and Student must provide complete and accurate registration, contact, emergency, and intake information and must promptly notify us of changes. Required Parent and Student forms must be submitted by the deadline stated on the event page or in the confirmation email. Late or incomplete forms may reduce the individualized support available and may result in delayed or denied participation without a refund.


3. Fees and payment. The registration fee and any included services are those shown at checkout or in the applicable written offer. Unless we expressly agree otherwise in writing, full payment is due at registration. The person submitting payment represents that the payment method is authorized. Any separately purchased add-on services are governed by the written terms presented when they are purchased.


4. What registration includes. Registration includes the in-person group workshop and one 25-minute virtual follow-up session with a workshop instructor, unless the event page or written confirmation states otherwise. The follow-up session must be scheduled and used within 60 days after the in-person workshop date, unless we approve an extension in writing. Unused time or services have no cash value, may not be transferred to another person, and expire at the end of that period. Additional coaching or editing is not included unless separately purchased.


5. Cancellations, absences, late arrival, early departure, and refunds. Except when Collier Connects cancels the Workshop as described below, registration fees are nonrefundable. No refund, partial refund, make-up time, or price reduction will be provided because a Student does not attend, arrives late, leaves early, declines to participate, does not complete intake materials or workshop activities, is dissatisfied with the amount of work completed, or is removed for a violation of these Workshop Terms. This policy applies regardless of whether the absence or reduced participation was the Student’s or Parent/Guardian’s choice.

Emergency or severe illness exception. If a Student cannot attend because of a documented emergency, severe illness, or similarly serious circumstance, the Parent/Guardian should contact us as soon as reasonably possible at collierconnects@gmail.com. At our discretion and subject to availability, we may transfer the Student to a future comparable workshop or issue a nontransferable credit toward eligible Collier Connects services. Any credit amount, eligible services, and expiration date will be confirmed in writing. This accommodation is not a cash refund, is not guaranteed, and does not apply to ordinary scheduling conflicts, changes of mind, incomplete work, late arrival, or early departure.

Cancellation or material change by Collier Connects. We may cancel, postpone, relocate, reschedule, modify the format, or substitute an instructor when reasonably necessary because of low enrollment, instructor unavailability, severe weather, building closure, safety concerns, public emergency, or circumstances beyond our reasonable control. If we cancel the Workshop and do not offer a reasonably comparable rescheduled session, the Parent/Guardian may choose a refund of the registration fee paid to Collier Connects or a credit in the same amount. Our responsibility for such a cancellation is limited to the amount paid to Collier Connects for the affected Workshop, except where applicable law requires otherwise. Travel, lodging, transportation, meals, lost wages, and other incidental expenses are not reimbursable.


6. Attendance and participation. Students are expected to arrive on time, participate in good faith, bring any requested materials or device, complete the pre-session forms and activities, and follow reasonable instructor directions. The Workshop is collaborative, but progress varies by Student. We do not promise that a Student will complete a final essay during the Workshop or follow-up session.


7. Independent arrival, departure, and supervision. The Workshop is an educational event for Students age 16 and older; it is not childcare, a school-day program, or a custodial service. The Parent/Guardian authorizes the Student to arrive at and depart from the venue independently and understands that Collier Connects will not require an adult to sign the Student in or out, verify the identity of a person providing transportation, or obtain additional permission before allowing the Student to leave. A Student may leave the workshop room or venue before the scheduled end time and may not be continuously supervised while outside the designated workshop space, including hallways, restrooms, parking areas, nearby businesses, and other common or public areas. The Parent/Guardian is responsible for deciding whether this arrangement is appropriate for the Student, establishing transportation and communication plans, and instructing the Student about where the Student may go. Once a Student leaves the designated workshop space, Collier Connects may not know the Student’s location and is not responsible for monitoring or transporting the Student. Nothing in this section limits any responsibility that cannot lawfully be limited.


8. Emergency contacts, illness, and emergency response. The Parent/Guardian must provide a current emergency contact who can be reached throughout the Workshop and must disclose information reasonably necessary for us to respond to known medical, accessibility, allergy, or safety needs. Students should not attend when they have symptoms of a contagious illness or when attendance would create a material risk to themselves or others. If a Student becomes ill, is injured, or experiences another emergency, we may contact the Parent/Guardian or emergency contact, contact 911 or venue personnel, and take reasonable steps based on the circumstances. The Parent/Guardian authorizes emergency evaluation and treatment when, in our reasonable judgment, delay could threaten the Student’s health or safety and a Parent/Guardian cannot be reached promptly. The Parent/Guardian remains responsible for medical, transportation, and related charges to the extent permitted by law. Students must manage and self-administer their own medications unless a different written arrangement is approved in advance; Collier Connects does not routinely store or administer medication.


9. Accessibility and accommodations. We want Students to be able to participate meaningfully. The Parent/Guardian or Student should contact us before registration, or as early as possible before the Workshop, to discuss a disability-related accommodation, dietary concern, or other access need. We will consider requests in a reasonable manner based on the particular circumstances and applicable law.


10. Respectful conduct and removal. Students must treat instructors, contractors, venue personnel, and other Students respectfully. Harassment, bullying, discrimination, threats, violence, sexual misconduct, deliberate disruption, unauthorized recording, damage to property, possession or use of illegal drugs, alcohol, weapons, or other unsafe or unlawful conduct is prohibited. Students must also follow reasonable venue and safety rules. We may redirect behavior, contact a Parent/Guardian, require a Student to leave, contact venue security or law enforcement, or take other reasonable action when conduct is disruptive, unsafe, unlawful, or materially interferes with the Workshop. Removal for conduct does not create a right to a refund or credit.


11. Student authorship, originality, and academic integrity. The Student retains ownership of the Student’s essay drafts, ideas, and other original writing. The Student represents that submitted work is the Student’s own and will not knowingly include plagiarism, fabricated experiences, or material that the Student is not authorized to use. Instructors provide brainstorming support, questions, critique, organizational guidance, and editorial feedback. The Student remains the author and is responsible for all final language, factual accuracy, authenticity, citations when applicable, and compliance with each college’s application and artificial-intelligence policies. We will not write or submit an application essay on the Student’s behalf.


12. No admissions or outcome guarantee. The Workshop provides educational guidance, not a promise of admission, scholarship, financial aid, application completion, essay acceptance, or any other outcome. Admissions decisions are made by third parties using factors outside our control. The Parent/Guardian and Student are responsible for reviewing application instructions, meeting deadlines, proofreading final submissions, securing necessary permissions, and deciding what to submit.


13. Workshop materials and limited license. Collier Connects and its licensors retain all rights in workshop slides, prompts created by us, worksheets, templates, handouts, videos, teaching methods, and other proprietary materials (“Workshop Materials”). We grant the Student a limited, nonexclusive, nontransferable, revocable license to use Workshop Materials for the Student’s personal educational and college-application purposes. Workshop Materials may not be copied for others, posted publicly, recorded, sold, licensed, used to teach a competing program, or distributed without our prior written permission. This restriction does not transfer ownership of the Student’s own writing to us and does not apply to third-party materials used according to their own terms.


14. Privacy, confidentiality, and group participation. Information collected in connection with the Workshop is handled under our Privacy Policy, available at https://collierconnects.com/privacy-policy-1. We may share information with instructors, independent contractors, service providers, event partners, and venue personnel as reasonably needed to administer the Workshop, provide feedback, address safety concerns, or comply with law. Because the Workshop includes group discussion, brainstorming, and possible peer feedback, other participants may hear a Student’s ideas or excerpts. Students must respect one another’s privacy and may not copy, photograph, record, publish, or share another Student’s writing or personal disclosures without that Student’s express permission. Although we promote respectful handling of shared information, we cannot guarantee that another participant will keep information confidential. Students should avoid sharing highly sensitive information they do not want discussed in a group setting.


15. Photos, audio, video, and publicity. Registration does not by itself grant Collier Connects permission to use a Student’s name, image, voice, testimonial, essay, or identifiable work for advertising or public promotion. Any such use requires a separate, optional written media or testimonial authorization. Collier Connects may make administrative or security recordings only when separately disclosed and lawfully authorized. Participants may not photograph, livestream, or make audio or video recordings during the Workshop without our prior written permission and the consent of affected participants.


16. Independent contractors, collaborators, and instructor changes. Collier Connects may engage independent contractors, guest instructors, collaborators, service providers, or other third parties to help plan, teach, administer, or support the Workshop. Such individuals are not necessarily employees of Collier Connects. We may substitute a reasonably qualified instructor when necessary. Unless a separate written agreement expressly states otherwise, registration and payment are made to Collier Connects, and Collier Connects remains responsible for providing the purchased Workshop services under these Workshop Terms.


17. Third-party venue. The Workshop may be held at a location owned or operated by an independent third party. Collier Connects does not own or control the venue’s building systems, common areas, parking, accessibility features, internet service, food service, security, or other operations. Participants must follow lawful venue rules and should promptly report a facility or safety concern to both a workshop instructor and appropriate venue personnel. Venue-specific claims or requests arising from the venue’s own acts, omissions, property, or services may need to be addressed directly with the venue. 


18. Personal property, transportation, and food. Participants are responsible for their transportation, devices, chargers, bags, and other personal property. Collier Connects is not a custodian of personal property and does not guarantee secure storage. Students should label belongings and take them when leaving. Any snacks or beverages are incidental conveniences; ingredients and cross-contact risks may vary. The Parent/Guardian and Student are responsible for reviewing available information, disclosing serious allergies in advance, and deciding what the Student may consume.


19. Safety acknowledgment. The Parent/Guardian and Student understand that ordinary risks of attending an in-person educational event may include travel to and from the venue; slips, trips, or falls; illness exposure; allergic reactions; interaction with other participants or members of the public; and loss of personal property. They agree to follow reasonable safety instructions and promptly report hazards or emergencies. This acknowledgment is intended to document known, ordinary risks and is not a waiver of claims that cannot lawfully be waived under Virginia law.


20. Website terms and privacy policy. The Collier Connects Terms of Use at https://collierconnects.com/terms-of-use govern use of our website, and the Privacy Policy at https://collierconnects.com/privacy-policy-1 describes our data practices. These Workshop Terms govern participation in and purchase of the Workshop. If these Workshop Terms conflict with the general website Terms of Use regarding the Workshop, these Workshop Terms control for the Workshop. A separate written agreement signed by Collier Connects controls over both documents to the extent of a direct conflict.


21. Communications and electronic transactions. The Parent/Guardian agrees that registration, notices, records, signatures, and agreements related to the Workshop may be provided electronically. The Parent/Guardian may request a paper copy, withdraw consent to conduct future transactions electronically, or update contact information by emailing collierconnects@gmail.com. Withdrawal does not affect the validity of electronic records or signatures already provided and may require completing remaining registration steps on paper. The Parent/Guardian is responsible for providing an email address that can receive and retain records and for saving a copy of these Workshop Terms.


22. LIMITATION OF LIABILITY. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, COLLIER CONNECTS, OR ITS OWNERS, EMPLOYEES, INDEPENDENT CONTRACTORS, OR OTHER REPRESENTATIVES, WILL NOT BE LIABLE TO THE PARENT/GUARDIAN OR STUDENT FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES ARISING UNDER THESE WORKSHOP TERMS OR FROM THE WORKSHOP, SUCH AS LOST OPPORTUNITIES OR COSTS ASSOCIATED WITH AN ADMISSIONS DECISION. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL COLLIER CONNECTS, OR ITS OWNERS, EMPLOYEES, INDEPENDENT CONTRACTORS, OR OTHER REPRESENTATIVES, BE LIABLE TO PARENT/GUARDIAN OR THE STUDENT FOR ANY DAMAGES, CLAIMS, COSTS, PENALTIES, OR FEES ARISING UNDER THESE WORKSHOP TERMS OR RELATED TO THE WORKSHOP, THAT EXCEEDS THE AMOUNT PAID TO COLLIER CONNECTS FOR THE WORKSHOP BY THE PARENT/GUARDIAN. NOTHING IN THESE WORKSHOP TERMS WAIVES OR LIMITS LIABILITY FOR GROSS NEGLIGENCE, WILLFUL MISCONDUCT, PERSONAL INJURY, OR ANY OTHER RESPONSIBILITY THAT CANNOT LAWFULLY BE WAIVED OR LIMITED. 


23. Governing law and forum. Virginia law governs these Workshop Terms, without regard to conflict-of-law principles. Any lawsuit arising out of or relating to the Workshop or these Workshop Terms must be brought in a state or federal court with jurisdiction in Fairfax County, Virginia, unless applicable law requires a different forum. Before filing a lawsuit, the parties agree to make a good-faith effort to resolve the dispute through direct written communication, except when immediate court action is reasonably necessary.


24. Changes, severability, waiver, assignment, and entire agreement. The version accepted at registration governs that registration unless the parties later agree to a change in writing. If a court finds any provision unenforceable, that provision will be enforced to the maximum extent permitted and the remaining provisions will continue in effect. A failure to enforce a provision once is not a waiver of the right to enforce it later. The Parent/Guardian may not transfer the registration or these Workshop Terms without our written consent. These Workshop Terms, the event description and checkout terms, the Privacy Policy, the website Terms of Use, and any signed written addendum are the entire agreement concerning the Workshop and replace prior discussions on the same subject.

COLLEGE PREP SERVICES TERMS OF SERVICE

These College Prep Services Terms of Service (the “College Prep Terms”) are a binding agreement between Collier Connects, LLC, a Virginia limited liability company (“Collier Connects,” “we,” “us,” or “our”), and the adult parent or legal guardian who purchases, registers, and/or authorizes a student’s participation (“Parent/Guardian”). The student participant is referred to as the “Student.” The Parent/Guardian and Student may be referred to together as “you.” These College Prep Terms apply to individual college prep coaching, including essay and personal-statement support, application organization, college exploration, executive-functioning and time-management support, communication and self-advocacy coaching, decision-making and stress-management support, and any related communications or services expressly included in writing (collectively, the “College Prep Services”).


By registering, scheduling, paying, participating, or electronically accepting these College Prep Terms, the Parent/Guardian confirms that the Parent/Guardian has read and agrees to these College Prep Terms, has authority to authorize College Prep Services for the Student, and consents to the Student’s participation in the College Prep Services. The Student is also expected to review and acknowledge the provisions that concern participation, conduct, originality, and use of materials.

We may request reasonable confirmation of age, grade level, or Parent/Guardian authorization. A Student who does not meet the eligibility requirements may be denied Services, and the refund or credit outcome will be determined under Section 5.


2. Registration and accurate information. Services are not reserved until Collier Connects receives the required payment and any confirmation identified in writing. The Parent/Guardian and Student must provide complete and accurate registration, contact, emergency, and intake information and must promptly notify us of changes. Required Parent and Student forms must be submitted by the deadline stated in the confirmation email or other written communication. Late or incomplete forms may reduce the individualized support available and may result in delayed or denied Services without a refund.


3. Fees and payment. Fees and any included services are those shown on the College Prep webpage, at checkout, or in the applicable written offer. Unless we expressly agree otherwise in writing, payment is due before the applicable session or by the deadline stated on the invoice. The person submitting payment represents that the payment method is authorized. Any separately purchased add-on services are governed by the written terms presented when they are purchased. In-person sessions may include a travel fee disclosed before scheduling.


4. What registration or purchase includes. College Prep Services may include a 75-minute intake session, ongoing individual coaching sessions, or a customized package, as shown on the College Prep webpage or in the applicable written offer or confirmation. Sessions may be shorter or longer by agreement and may be conducted virtually or in person for local clients. Any expiration date, included services, or package-specific conditions will be stated in writing. Unused time or services have no cash value and may not be transferred to another person unless we approve otherwise in writing. Additional coaching, editing, or other support is not included unless separately purchased.


5. Cancellations, absences, late arrival, early departure, and refunds. Except when Collier Connects cancels a session or service as described below, fees are nonrefundable. A session may be rescheduled without charge when the Parent/Guardian or Student provides at least 24 hours’ notice. A cancellation or request to reschedule with less than 24 hours’ notice, or failure to attend, may result in loss of the scheduled session and the full session fee. If a Student arrives late or leaves early, the session will ordinarily end at the scheduled time and no refund, make-up time, or price reduction will be provided. No refund or price reduction will be provided because a Student declines to participate, does not complete intake materials or agreed activities, is dissatisfied with the amount of work completed, or is removed for a violation of these College Prep Terms.

If we cancel a session and do not offer a reasonably comparable rescheduled session, the Parent/Guardian may choose a refund of the fee paid to Collier Connects for that session or a credit in the same amount. Our responsibility for such a cancellation is limited to the amount paid to Collier Connects for the affected session, except where applicable law requires otherwise. Travel, lodging, transportation, meals, lost wages, and other incidental expenses are not reimbursable.

The Student represents that submitted work is the Student’s own and will not knowingly include plagiarism, fabricated experiences, or material that the Student is not authorized to use. Instructors provide brainstorming support, questions, critique, organizational guidance, and editorial feedback. The Student remains the author and is responsible for all final language, factual accuracy, authenticity, citations when applicable, and compliance with each college’s application and artificial-intelligence policies. We will not write or submit an application essay on the Student’s behalf.


12. No admissions or outcome guarantee. The College Prep Services provide educational guidance, not a promise of admission, scholarship, financial aid, application completion, essay acceptance, or any other outcome. Admissions decisions are made by third parties using factors outside our control. The Parent/Guardian and Student are responsible for reviewing application instructions, meeting deadlines, proofreading final submissions, securing necessary permissions, and deciding what to submit.


13. Workshop materials and limited license. Collier Connects and its licensors retain all rights in materials, prompts created by us, worksheets, templates, handouts, videos, teaching methods, and other proprietary materials (“College Prep Materials”). We grant the Student a limited, nonexclusive, nontransferable, revocable license to use College Prep Materials for the Student’s personal educational and college-application purposes. College Prep Materials may not be copied for others, posted publicly, recorded, sold, licensed, used to teach a competing program, or distributed without our prior written permission. This restriction does not transfer ownership of the Student’s own writing to us and does not apply to third-party materials used according to their own terms.


14. Privacy and confidentiality. Information collected in connection with the College Prep Services is handled under our Privacy Policy, available at https://collierconnects.com/privacy-policy-1. We may share information with coaches, instructors, independent contractors, service providers, collaborators, and venue personnel as reasonably needed to provide and administer the College Prep Services, provide feedback, address safety concerns, or comply with law. College Prep coaching is intended to provide a private and respectful setting, but it is not legally privileged. We cannot guarantee the privacy of communications sent through email, text, shared documents, video platforms, or other third-party systems.


15. Photos, audio, video, and publicity. Registration does not by itself grant Collier Connects permission to use a Student’s name, image, voice, testimonial, essay, or identifiable work for advertising or public promotion. Any such use requires a separate, optional written media or testimonial authorization. Collier Connects may make administrative or security recordings only when separately disclosed and lawfully authorized. Participants may not photograph, livestream, or make audio or video recordings during the College Prep Services without our prior written permission and the consent of affected participants.


16. Independent contractors, collaborators, instructors, and coach changes. Collier Connects may engage independent contractors, guest coaches, instructors, collaborators, service providers, or other third parties to help plan, teach, administer, or support the College Prep Services. Such individuals are not necessarily employees of Collier Connects. We may substitute a reasonably qualified coach or instructor when necessary. Unless a separate written agreement expressly states otherwise, registration and payment are made to Collier Connects, and Collier Connects remains responsible for providing the purchased Workshop services under these College Prep Terms.


17. Third-party venue. College Prep Services may be held at a location owned or operated by an independent third party. Collier Connects does not own or control the venue’s building systems, common areas, parking, accessibility features, internet service, food service, security, or other operations. Participants must follow lawful venue rules and should promptly report a facility or safety concern to both a coach/instructor and appropriate venue personnel. Venue-specific claims or requests arising from the venue’s own acts, omissions, property, or services may need to be addressed directly with the venue.


18. Personal property, transportation, and food. Participants are responsible for their transportation, devices, chargers, bags, and other personal property. Collier Connects is not a custodian of personal property and does not guarantee secure storage. Students should label belongings and take them when leaving. Any snacks or beverages are incidental conveniences; ingredients and cross-contact risks may vary. The Parent/Guardian and Student are responsible for reviewing available information, disclosing serious allergies in advance, and deciding what the Student may consume.


19. Safety acknowledgment. The Parent/Guardian and Student understand that ordinary risks of attending an in-person educational meeting or event may include travel to and from the venue; slips, trips, or falls; illness exposure; allergic reactions; interaction with other participants or members of the public; and loss of personal property. They agree to follow reasonable safety instructions and promptly report hazards or emergencies. This acknowledgment is intended to document known, ordinary risks and is not a waiver of claims that cannot lawfully be waived under Virginia law.


20. Website terms and privacy policy. The Collier Connects Terms of Use at https://collierconnects.com/terms-of-use govern use of our website, and the Privacy Policy at https://collierconnects.com/privacy-policy-1 describes our data practices. These College Prep Terms govern participation in and purchase of the College Prep Services. If these College Prep Terms conflict with the general website Terms of Use regarding the College Prep Services, these College Prep Terms control for the College Prep Services. A separate written agreement signed by Collier Connects controls over both documents to the extent of a direct conflict.


21. Communications and electronic transactions. The Parent/Guardian agrees that registration, notices, records, signatures, and agreements related to the College Prep Services may be provided electronically. The Parent/Guardian may request a paper copy, withdraw consent to conduct future transactions electronically, or update contact information by emailing collierconnects@gmail.com. Withdrawal does not affect the validity of electronic records or signatures already provided and may require completing remaining registration steps on paper. The Parent/Guardian is responsible for providing an email address that can receive and retain records and for saving a copy of these College Prep Terms.


22. LIMITATION OF LIABILITY. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, COLLIER CONNECTS, OR ITS OWNERS, EMPLOYEES, INDEPENDENT CONTRACTORS, OR OTHER REPRESENTATIVES, WILL NOT BE LIABLE TO THE PARENT/GUARDIAN OR STUDENT FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES ARISING UNDER THESE COLLEGE PREP TERMS OR FROM THE SERVICES, SUCH AS LOST OPPORTUNITIES OR COSTS ASSOCIATED WITH AN ADMISSIONS DECISION. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL COLLIER CONNECTS, OR ITS OWNERS, EMPLOYEES, INDEPENDENT CONTRACTORS, OR OTHER REPRESENTATIVES, BE LIABLE TO PARENT/GUARDIAN OR THE STUDENT FOR ANY DAMAGES, CLAIMS, COSTS, PENALTIES, OR FEES ARISING UNDER THESE COLLEGE PREP TERMS OR RELATED TO THE SERVICES, THAT EXCEEDS THE AMOUNT PAID TO COLLIER CONNECTS FOR THE SERVICES BY THE PARENT/GUARDIAN. NOTHING IN THESE COLLEGE PREP TERMS WAIVES OR LIMITS LIABILITY FOR GROSS NEGLIGENCE, WILLFUL MISCONDUCT, PERSONAL INJURY, OR ANY OTHER RESPONSIBILITY THAT CANNOT LAWFULLY BE WAIVED OR LIMITED.


23. Governing law and forum. Virginia law governs these College Prep Terms, without regard to conflict-of-law principles. Any lawsuit arising out of or relating to the College Prep Services or these College Prep Terms must be brought in a state or federal court with jurisdiction in Fairfax County, Virginia, unless applicable law requires a different forum. Before filing a lawsuit, the parties agree to make a good-faith effort to resolve the dispute through direct written communication, except when immediate court action is reasonably necessary.


24. Changes, severability, waiver, assignment, and entire agreement. The version accepted at registration or when Services are purchased governs those Services unless the parties later agree to a change in writing. If a court finds any provision unenforceable, that provision will be enforced to the maximum extent permitted and the remaining provisions will continue in effect. A failure to enforce a provision once is not a waiver of the right to enforce it later. The Parent/Guardian may not transfer purchased Services or these College Prep Terms without our written consent. These College Prep Terms, the service description and payment terms, the Privacy Policy, the website Terms of Use, and any signed written addendum are the entire agreement concerning the College Prep Services and replace prior discussions on the same subject.
